Dentons has advised eSky’s founders and the Syntaxis Capital fund on their PLN 158 million sale of a 55% stake in eSky to an MCI Capital fund. Dubinski Jelenski Masiarz and Partners reportedly advised the buyer.

The transaction remains contingent on regulatory approval.

“The founders of eSky will remain active shareholders controlling 45% of the shares in the company,” Dentons informed. “The transaction also includes a capital injection into the company.”

The eSky Group is an online travel agency, enabling travelers to purchase airline tickets, book accommodation, rent cars, and purchase travel insurance. The group sells products in over 60 countries worldwide.

MCI Capital is a technology-oriented private equity company operating in the CEE region. The group focuses on companies with digitization as a basis of their business model, including retail, financial services, TMT, healthcare, transport, and logistics.

The Dentons team was led by Partner Pawel Grabowski and Managing Counsel Michal Wasiak and included Senior Associates Katarzyna Kozak and Katarzyna Mazur and Associate Dagmara Przybytniowska.
